1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PureLaw.ai Inc. ("PureLaw.ai," "we," "our," or "us") governing your use of our AI-powered contract review platform and related services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

PureLaw.ai provides AI-powered tools for contract review, drafting, and analysis. The Service includes:

• AI-assisted contract review and issue identification
• Contract drafting and clause generation
• Natural language Q&A about documents
• Benchmarking and analytics
• Microsoft Word and other integrations

3. Account Registration

To use the Service, you must:

• Create an account with accurate, complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use
• Be at least 18 years old or have legal capacity in your jurisdiction

You are responsible for all activities under your account.

4. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property or privacy rights
• Attempt to reverse engineer, decompile, or hack the Service
• Use the Service to compete with us or develop competing products
• Share account credentials or allow unauthorized access
• Upload malicious content or attempt to compromise security
• Use the Service in ways that could harm other users
• Exceed rate limits or use automated systems without permission

5. Your Data

5.1 Ownership

You retain all rights to documents and data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to process Your Data solely to provide the Service. This includes analyzing documents, storing them temporarily, and generating outputs like reviews and suggestions.

5.3 AI Training

We do not use Your Data to train our AI models unless you explicitly opt in. See our Privacy Policy for details.

6. Subscription and Payment

6.1 Fees

You agree to pay all fees for your subscription plan as described on our pricing page. Fees are non-refundable except as required by law or stated in these Terms.

6.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. We may change pricing with 30 days' notice.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

7. Intellectual Property

The Service, including all software, algorithms, designs, and content (excluding Your Data), is owned by PureLaw.ai and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights.

8. Disclaimers

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption

Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless PureLaw.ai from claims arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Dispute Resolution

11.1 Arbitration

Any disputes will be resolved through binding arbitration under the rules of JAMS, rather than in court, except you may bring claims in small claims court.

11.2 Class Action Waiver

You waive the right to participate in class actions or class arbitrations.

11.3 Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.

12. Termination

We may suspend or terminate your access if you violate these Terms or for any reason with 30 days' notice. Upon termination:

• Your access to the Service will end
• You may export Your Data for 30 days
• We will delete Your Data per our retention policy

13. Changes to Terms

We may update these Terms. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

14. General

• Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement.
• Severability: If any provision is unenforceable, the rest remains in effect.
• No Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent.
